TERMS AND CONDITIONS FOR RETAILERS / OTC

ORDERS/MINIMUMS: Minimum opening order is $500. Re-orders are a minimum of $250. Contours Rx, LLC strictly prohibits the sale of any products to be listed on eBay or Amazon accounts.

PRICES/TAXES: Buyer will be invoiced for sales tax where applicable. Buyer must provide tax exemption or a resell certificate for each state to avoid being invoiced for sales tax. A 60-day notice will be given on all price changes.

PAYMENT: New accounts are required to pay at the time of ordering until credit terms are established. Should credit terms be established, payment will be due net 30 days from date of invoice and must be sent to Contours Rx’s remittance address: 200 2nd Ave. S., Suite 701, St. Petersburg, FL 33701. Preferred payment method for international accounts is a wire transfer. Orders will not be shipped to delinquent accounts. Contours Rx reserves the right to adjust or terminate terms at any time. Any discrepancy in an invoiced price and the corresponding order pricemust be reported to Contours Rx within 10 days of the date of invoice. Interest will accrue on past-due amounts at a rate of 1.5% per month. Credits due to Buyer may be applied to any outstanding balance.

FREIGHT: For orders of less than $1,000 shipping to the continental U.S., Alaska, Hawaii and Puerto Rico, the Buyer is responsible for all shipping charges. On orders of $1,000 and above Contours Rx will payall shipping charges.

All Buyers OUTSIDE the continental U.S, Alaska, Hawaii and Puerto Rico are responsible for securing transport on orders of less than $5,000 - all products to be delivered by Ex Works (EXW) from its designated shipping point in the U.S. per Incoterms 2010. On all orders of $5,000 and above, Contours Rx will pay shipping costs to Buyer’s closest port (FOB). Buyer will be responsible for pick up from the port and for all VAT, taxes, duties, and clearing customs.

Contours Rx reserves the right to select the mode and carrier of Contours Rx’s choice. Buyer is responsible for noting any damage or potential damage and/or shortages on freight bill at time of delivery and notifying Contours Rx within 15 days of delivery.

RETURNS: (Damaged or Defective) All Product returns due to defect or damage require the prior written authorization of Contours Rx. If the return is authorized, Buyer must return the Product to Contours Rx within 30 days of receipt of the authorization. Any Product returned after 30 days will be addressed by Contours Rx in its sole discretion. Credit will be issued only after Product is r eceived and then examined and determined to be returnable by Contours Rx’s Return Goods Department.

(All other returns) Product may be returned only under the following conditions:
Up to 30 days from date of invoice 25% restocking fee will be assessed.
Only unopened products.
Credit, if allowed, will be based on saleable Product that is still listed in Contours Rx’s current price list. A copy of the original invoice is included.

Contours Rx will not accept returns for:
Product not in standard Contours Rx packaging.
Product purchased through anyone other than Contours Rx. Third party returns.
Product with unauthorized labels or that has been defaced. Product over 30 days postdate of invoice.
Discontinued, special price, damaged or opened product.

TRANSFERABILITY: Contours Rx accounts are non-transferable. Any major change within Buyer’s organization requires a new and independent review by Contours Rx before it will extend a Buyer’s account to the changed organization.

MAP Policy (Minimum Advertised Pricing)

The MAP shall be no more than 10% off the posted salon/spa price list when selling to salons or spas and no more than 10% off MSRP when selling to consumers.

The MAP policy applies to all advertisements of Contours RX products in any and all media, including, but not necessarily limited to, flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order catalogs, Internet or similar electro nic media, television, radio, and public signage. The MAP policy is not applicable to any in-store advertising that is not distributed to the customer.

Pricing listed on an internet site is considered an “advertised price” and must adhere to the MAP policy. Once the pricing is associated with an actual purchase (an internet order), the price becomes the selling price and is not bound by this MAP policy.
